WHEREAS, the parties desire to enter into this Lease Agreement (the "Agreement") to govern the terms and conditions of the lease of the premises described herein; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows: 1. PREMISES. Lessor agrees to lease to Lessee, and Lessee agrees to lease from Lessor, the premises located at 123 Business Park Drive, Suite 402, San Francisco, CA 94105 (the "Premises"). 2. TERM. This Agreement shall commence on March 1, 2025 and continue for an initial term of twelve (12) months, ending on February 28, 2026, unless earlier terminated in accordance with the provisions hereof.
3. RENT. Lessee shall pay Lessor monthly rent in the amount of Three Thousand Five Hundred Dollars ($3,500.00), due on the first day of each month. Late payments shall bear interest at the rate of one and one-half percent (1.5%) per month. 4. SECURITY DEPOSIT. Lessee shall deposit with Lessor the sum of Seven Thousand Dollars ($7,000.00) as security for the faithful performance of Lessee's obligations hereunder.
5. TERMINATION. Either party may terminate this Agreement upon thirty (30) days written notice to the other party. Upon termination, Lessee shall pay all amounts due and owing through the date of termination and shall vacate the Premises. 6. USE OF PREMISES. Lessee shall use the Premises solely for general office purposes and shall not use the Premises for any unlawful purpose or in any manner that would violate any applicable laws or regulations.
7. MAINTENANCE AND REPAIRS. Lessor shall be responsible for maintaining the building structure and common areas. Lessee shall be responsible for maintaining the interior of the Premises in good condition. 8. RENEWAL. This Agreement may be renewed for additional terms upon mutual written agreement of the parties, provided that Lessee gives written notice of intent to renew at least sixty (60) days prior to the expiration of the then-current term.
